Terms of Service

1. Definitions

"Service" means the Cityligence platform, including all features, data, reports, and content accessible through cityligence.com and associated subdomains.

"Cityligence," "we," "us," or "our" refers to Cityligence and its owners, operators, officers, directors, employees, agents, affiliates, successors, and assigns.

"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.

"Content" means all data, analysis, reports, scores, signals, maps, visualizations, and other information displayed or generated by the Service.

"Government Data" means data sourced from public government APIs, including but not limited to NYC Open Data, the Bureau of Labor Statistics, the Federal Reserve (FRED), the Department of Labor, and other federal, state, and municipal data sources.

"Proprietary Analysis" means Cityligence's scoring algorithms, signal detection, domain knowledge insights, aggregation methods, AI-generated analysis, and presentation layer — distinct from underlying Government Data.

2. Acceptance of Terms

By accessing or using the Service, you accept and agree to be bound by these Terms, the Privacy Policy, the Cookie Policy, and the Acceptable Use Policy (collectively, the "Agreements").

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.

Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service.

3. Description of Service

Cityligence is a construction industry intelligence platform focused on New York City. The Service aggregates data from public government APIs, applies proprietary analysis and AI-powered insights, and presents actionable intelligence through dashboards, maps, reports, alerts, and other features.

The Service is an informational tool. It is NOT a substitute for professional advice from licensed attorneys, engineers, architects, accountants, financial advisors, or other qualified professionals.

Features, data sources, and functionality may change at any time without notice.

4. Accounts & Access

  • Accounts may be provisioned by Cityligence (e.g., free trial invitations) or created by you through self-service registration (when available).
  • You are responsible for maintaining the security of your account credentials.
  • One person per account. Account sharing is prohibited.
  • You must provide accurate information and keep it current.
  • You must be at least 18 years old to use the Service.
  • We may suspend or terminate accounts as described in Section 14.

5. Subscriptions & Billing

Free trial: We may offer free trial access at our discretion. Trial features may be limited. Trial access may be modified or terminated at any time, for any reason, without notice.

Paid plans: Subscriptions are billed monthly via Stripe. By subscribing, you authorize recurring charges.

Price changes: We may change pricing with 30 days' written notice. Continued subscription after the notice period constitutes acceptance.

No refunds: No refunds for voluntary cancellation or partial billing periods, except when Cityligence terminates your account for convenience as described in Section 14.

Credits: AI and report credits are allocated monthly per plan. Unused credits expire at the end of each billing period and do not roll over.

Payment processor: All payment processing is handled by Stripe. Cityligence does not store credit card numbers. Stripe's terms and privacy policy govern payment processing.

6. Government Data Disclaimer

The Service incorporates data from NYC Open Data, the Bureau of Labor Statistics, the Federal Reserve (FRED), the Department of Labor, and other public government sources.

Government Data is provided "as-is" from its respective source agencies. Cityligence does not control, verify, or guarantee the accuracy, completeness, timeliness, or reliability of Government Data.

Government Data may be delayed, incomplete, contain errors, or reflect outdated information. Data reflects the state at the time of ingestion into our systems, not real-time conditions.

Cityligence is not affiliated with, endorsed by, or acting on behalf of any government agency.

Government Data should not be relied upon as a substitute for official government records, title searches, professional inspections, or other authoritative sources.

Users must independently verify any Government Data before making business, investment, legal, or safety decisions.

Specific data limitations: Building permits and violations may reflect processing delays of days to weeks. Property transaction records (ACRIS) are updated monthly by the source agency. Energy benchmarking and emissions data (LL84, LL97) are published annually. Census and demographic data reflects the most recent available survey period. Historical data may not reflect current conditions.

Bureau of Labor Statistics: BLS data is in the public domain. BLS cannot vouch for the data or analyses derived from these data after the data have been retrieved from BLS.

Federal Reserve (FRED): FRED data is sourced from the Federal Reserve Bank of St. Louis. Some FRED series may include data owned by third parties; Cityligence uses only series that are available for commercial use without restriction.

NYC Open Data: Data is provided under the NYC Open Data Terms of Use. The City of New York makes no claims as to the completeness, accuracy, content, or fitness for any particular purpose of the data sets made available.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence (currently Anthropic's Claude API) to generate analysis, reports, executive briefs, and other content.

AI-generated content may contain inaccuracies, omissions, unsupported conclusions, or "hallucinations" (plausible-sounding but factually incorrect statements).

AI-generated content is NOT legal advice, financial advice, engineering advice, safety advice, or any form of professional counsel.

AI-generated content reflects patterns in available data and should be treated as a starting point for further investigation, not a final determination.

Users must verify AI-generated content independently and consult licensed professionals before making decisions based on it.

Cityligence makes no warranty regarding the accuracy, reliability, or fitness for purpose of any AI-generated content.

8. Intellectual Property

Government Data: Underlying Government Data is in the public domain. Cityligence makes no intellectual property claim over raw Government Data.

Proprietary Analysis: Cityligence's scoring algorithms, signal detection, domain knowledge insights, aggregation methods, data presentation, user interface, design, branding, and AI-generated analysis are the intellectual property of Cityligence.

User license: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its Content for your internal business purposes.

Restrictions: You may not reproduce, redistribute, sublicense, sell, or create derivative works from Cityligence's Proprietary Analysis without prior written consent. The sharing of exports as permitted by the Acceptable Use Policy does not constitute redistribution for purposes of this Section.

User content: You retain ownership of data you provide (portfolio addresses, company information). By providing this data, you grant Cityligence a license to use it to operate and improve the Service.

Feedback: Any suggestions, ideas, or feedback you provide may be used by Cityligence without obligation or compensation.

9. Warranty Disclaimer

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

CITYLIGENCE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, AND NON-INFRINGEMENT.

CITYLIGENCE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CITYLIGENCE DOES NOT WARRANT THAT GOVERNMENT DATA OR AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CITYLIGENCE OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CITYLIGENCE AND ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES; LOSS OF DATA OR GOODWILL; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; BUSINESS INTERRUPTION; DAMAGES ARISING FROM RELIANCE ON GOVERNMENT DATA OR AI-GENERATED CONTENT; OR DAMAGES ARISING FROM DATA INACCURACY, DELAY, OR INCOMPLETENESS.

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF CITYLIGENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CITYLIGENCE'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO CITYLIGENCE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

FOR FREE OR TRIAL USERS, CITYLIGENCE'S TOTAL LIABILITY SHALL NOT EXCEED ZERO DOLLARS ($0).

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY ARISING FROM CITYLIGENCE'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, CITYLIGENCE'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cityligence and its owners, operators, officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any third party's rights
  • Your misrepresentation of authority to act on behalf of any person or entity
  • Any content or data you provide through the Service

This is a one-way indemnification. Cityligence does not provide reciprocal indemnification under these Terms.

12. Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy constitutes a violation of these Terms.

13. Privacy

Your use of the Service is subject to the Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

14. Termination

Free and trial users: Cityligence may suspend or terminate your access at any time, for any reason or no reason, with or without notice, at our sole discretion. No refund or compensation is owed.

Paid users: Cityligence may terminate your account (a) immediately for cause (violation of Terms, fraud, abuse, non-payment, or any conduct that Cityligence determines, in its sole discretion, is harmful to the Service or other users), or (b) for convenience with 30 days' written notice.

Upon termination for convenience by Cityligence, we will refund any prepaid fees for the unused portion of the current billing period. Upon termination for cause, no refund is owed.

You may stop using the Service at any time. To close your account, contact support@cityligence.com.

Upon termination, your right to access the Service ceases immediately. We may delete your data 30 days after account termination. You may request data export before termination.

The following sections survive termination: Definitions, Government Data Disclaimer, AI-Generated Content Disclaimer, Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous.

15. Dispute Resolution

Step 1 — Informal resolution (mandatory): Before initiating any formal dispute resolution, you must contact Cityligence at legal@cityligence.com describing the dispute. Both parties will attempt to resolve the dispute informally for at least 30 days.

Step 2 — Mediation (mandatory): If informal resolution fails, the dispute shall be submitted to mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Procedures, held in New York, NY. The mediator shall be mutually agreed upon or appointed by AAA. Costs split equally.

Step 3 — Binding arbitration: If mediation fails to resolve the dispute within 60 days, the dispute shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules. Arbitration shall be conducted in New York, NY, before a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party bears its own costs and attorneys' fees unless the arbitrator determines otherwise.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST CITYLIGENCE.

Small claims exception: Either party may bring an individual action in small claims court in New York County if the claim qualifies.

Injunctive relief exception: Notwithstanding the above, Cityligence may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. Miscellaneous

Governing law: These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Severability: If any provision is found unenforceable, the remainder of the Terms remains in effect.

Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.

Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Cityligence regarding the Service.

Assignment: Cityligence may assign or transfer these Terms and all rights and obligations hereunder to any successor entity (including upon incorporation, merger, acquisition, or asset sale) without your consent. You may not assign your rights under these Terms.

Notices: We may provide notices via email, in-app notification, or posting on the Service. Notices to Cityligence should be sent to legal@cityligence.com.

Statute of limitations: Any claim arising from or related to these Terms or the Service must be brought within twelve (12) months of the events giving rise to the claim. Claims brought after this period are permanently barred.

Force majeure: Cityligence is not liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or third-party service failures (including government API outages).
